Purpose:

To be used companies to amend its Articles of Association.

Questions:

1) Do we have access to the client’s entity on the KOUNTED dashboard? If not, an ORS form needs to be filed first to gain access because only users with authority over the entity can file this request.

2) What are the current Articles of Association – model, amended or bespoke?

3) Does the company have already executed and legally reviewed Articles of Association that it wishes to file?

4) Are there any other associated transactions such as allotments or share transfers, which may require additional filings at a different additional charge?

Pay Attention:

1) The amended or bespoke Articles of Association need to be compliant with the ADGM Companies Regulations, therefore, this would require a legal review.

2) Most commonly, companies change from model to amended or bespoke Articles of Association.

Online via the ADGM RA portal https://newreg.adgm.com/

Timeline:

This application must be submitted within 14 days from the resolution date confirming the adoption of the new articles of association.

Timeframe:

KOUNTED 2-3 working days for drafting including drafting the online application

ADGM: This application is typically auto-approved, but the ADGM RA reserves the right to request any additional information/clarification if deemed to be required.
