[07.021-ADGM] - CORP SUPPORT # CERTIFICATE OF INCUMBENCY

Purpose:             

This certificate is issued electronically by the ADGM RA to confirm the following information


For companies:

·         Registered Office Address

·         List of Directors and appointment date

·         List of Secretaries and appointment date (if applicable)

·         Number of issued shares

·         List of Shareholders and the effective date of becoming a shareholder

 


For partnerships:

·         Registered Office Address

·         List of Partners/Members and appointment date

 


For foundations:

·         Registered Office Address

·         List of Members and appointment date

Questions:         

1) Do we have access to the client’s entity on the KOUNTED dashboard? If not, an ORS form needs to be filed first to gain access because only users with authority over the entity can file this request.


2) Does the client require a document that includes details of the company's share capital, number of shares, and ownership percentage that is being held by the shareholders? If so, this would not be the right document, and you should suggest a certified true copy of the company’s register of members/shareholders or share certificates instead.

Pay Attention:   

1)      The Certificate does not include details of the company's share capital, number of shares, and ownership percentage that is being held by the shareholders. If the company wishes to have this information certified by RA, the company can request a certified true copy of its register of shareholders. Such register must be uploaded with the request.


2)      The document is issued electronically and sent via email, no hard copy will be issued.

Online via the ADGM RA portal https://newreg.adgm.com/


à  Navigate to the Service List and select the register (Companies, Partnership, Foundation), go to Corporate Services, select View Option


àClick Corporate Services, Proceed, and confirm your selection.


àSelect Certificate of Incumbency as Service Type


àComplete the form and upload the required documents (if any), then click Next.


àTick the Declaration and select Next.


àComplete the payment, then select Submit. Once payment is completed, you will instantly receive the documents.

This document can be requested at any time after incorporation/registration.

ADGM: This document is issued electronically and can be received instantly once the request is submitted.
