SUPPORT # APPOINTMENT AND/OR CESSATION OF AUTHORIZED SIGNATORIES
Purpose:
This
application form must be submitted to notify the ADGM RA of the appointment
and/or cessation of Authorized Signatories, noting that there must be at least
one authorised signatory always appointed for all ADGM registered entities.

Questions:
1) Will
there be an appointment and/or cessation of authorised signatories?
2)
What is the respective appointment/cessation date?
3)
For new appointments:
· Is/are the new authorised
signatory(ies) UAE, GCC nationals and/or UAE residence visa holders or have
they at lease entered the UAE once?
· Is/are the new authorised
signatory(ies) acting in a nominee capacity for another person?
4)
For cessation: Did the authorised signatory(ies) resign or were they removed?
5)
Request for the supporting documents as below.
Pay Attention:
1) All authorized signatories must
have at least entered the UAE once and at least one of them is a GCC national
or a holder of a valid UAE residence visa)
2) This application must be filed
prior to filing the commercial license renewal if the change happened prior to
the renewal date.
3) Note that CSPs and others may
act as so called nominee authorised signatories to meet the UAE residence visa
requirements, but the person on whose behalf they are acting must be declared
via the online application form and their full KYC must be provided in addition
to that of the nominee authorised signatory whose name will appear on the
commercial license (the person on behalf of the authorised signatory is acting
will NOT appear on the commercial license).

Timeline:
As soon
as practicable after the change occurred.
Timeframe:
KOUNTED 1-2
working days including drafting the online application, provided all the
relevant information has been provided
ADGM: 3-5
working days, returns and timeframe for approval subject to review. Authorised
signatories are subject to a third-party security clearance from the UAE
authorities and delays in this process (beyond the control of the ADGM RA) may
extend the review and approval timeframe.

2. Valid passport copy of new signatory.
3. Valid Emirates ID (for Non-GCC
nationals only)
4. UAE residence visa (if applicable)

Certificate (Applicable if the authorized signatories are sponsored by
a parent, spouse, or government entity)
6. Consent to Act as authorised signatory
Cessation
7. Resignation Letter
8. Evidence of
Cessation (e.g., a resolution approving the cessation)
