[07.203-ADGM] - COMPLIANCE: NOTICE OF RECTIFICATION / ERROR


Purpose:             


This application form must be submitted by ADGM registered entities to notify the ADGM RA that the entity delivered documents or information to the Registrar that
i) is invalid or ineffective,
ii) was done without the authority of the entity.
iii) is factually inaccurate or is derived from something factually inaccurate,
iv) forged, or
v) The information in the form is entered in error/it is a typo/entered by mistake, unintentionally/inadvertently.


Legal Entities:    

Companies, Partnerships, Foundations, DLT Foundations

Questions:         

1) Are the changes related to the company’s shares? (See supporting documents section for the additional required supporting documents.)

                               

2) Which of the following options apply? (Note that this information is required to draft the Explanatory Note.)
                                the entity delivered documents or information to the Registrar that
i) is invalid or ineffective,
ii) was done without the authority of the entity.
iii) is factually inaccurate or is derived from something factually inaccurate,
iv) forged, or
v) The information in the form is entered in error/it is a typo/entered by mistake, unintentionally/inadvertently.

                               

3) What changes are required in the record of the entity, i.e. if there is a typo in the name of a role holder or his/her residential/service address then an updated register, proof of address or ID document may be required?

                               

4) Do we have access to the client’s entity profile on the KOUNTED portal? If not, this must be requested via ORS.

Pay Attention:   

1)      If any of the information or documents provided by the company to Registration Authority (‘RA’) are incorrect, the entity can file a notice of Error in Registry or Lodged Documents. This form can be used for any other rectifications required in the entity’s record, including notices where forms are not available in ADGM online registry solution.

2)      Additional documents (Indemnity Letter, Register of Shareholders etc.) are required in case the changes relate to the company’s shares

ADGM: 3-5 working days, returns and timeframe for approval subject to review.

1. Explanatory Notes, stating the details of the changes required; 

2. Indemnity Letter, applicable if the changes are related to the company’s shares. 

3. Register of Shareholder, applicable if the changes are related to the company’s shares.  

4. Any other documents that support the requested changes, if applicable.
